  • Contractual joint ventures – These are often highly bespoke to the situation in question, but are ways of contractually binding parties to work together without there being an additional joint venture company. Recently, we’ve put in place contractual joint ventures between various consortia bidding to be “Institutes of Technology”.
  • Outsourcing – For example, we’ve worked on the outsourcing of an entire service line by a professional services organisation as part of a sale process.
  • Strategic manufacturing arrangements – We’ve worked on numerous engine supply arrangements in the automotive industry and co-packing agreements in the food sector.
  • Management arrangements – We have considerable experience of advising property owners on hotel management agreements, hotel franchise agreements and restaurant management agreements, together with the ad hoc commercial agreements that tend to accompany them.
